Terms of Service

Welcome to Awed Media ("Company," "we," "our," or "us"). By engaging with our services, you ("Client," "you," or "your") agree to comply with and be bound by these Terms of Service ("Terms"). Please read these Terms carefully before using our services. If you do not agree to these Terms, you must refrain from engaging with our services.

1. Services Provided

Awed Media provides full-service creative advertising solutions, including but not limited to video production, campaign management, creative strategy, competitor analysis, and data-driven performance insights. The scope of services will be outlined in a separate agreement or project brief provided to you.

2. 3-Month Minimum Engagement

All clients are required to commit to a minimum of three (3) months of services. This timeframe allows for proper campaign setup, iteration, and measurable results. After the initial 3-month period, you may continue services on a month-to-month basis unless otherwise specified in a signed agreement.

3. Fees and Payments

3.1 Pricing: Fees for services will be detailed in your proposal or agreement. All pricing is subject to applicable taxes unless otherwise specified.

3.2 Payment Schedule: Payments are due as outlined in your agreement. Late payments may incur interest charges of 1.5% per month or the maximum amount permitted by law.

3.3 Non-Refundable Fees: Payments made for services are non-refundable, except as explicitly stated in these Terms or your agreement.

4. Cancellation and Termination

4.1 Cancellation: You may cancel services after the initial 3-month minimum by providing written notice at least 30 days in advance.

4.2 Termination for Cause: Either party may terminate this agreement immediately upon written notice if the other party breaches these Terms and fails to cure such breach within ten (10) business days of receiving notice.

4.3 Effect of Termination: Upon termination, all outstanding fees and charges for services rendered will become immediately due and payable.

5. Client Responsibilities

You agree to:

Provide timely access to necessary materials, assets, and information required for us to deliver services.

Respond promptly to our communications and requests.

Ensure compliance with applicable laws and regulations for the materials or campaigns you provide.

6. Intellectual Property

6.1 Ownership of Deliverables: Upon full payment, ownership of final deliverables will transfer to you. Awed Media retains the right to showcase non-confidential deliverables in its portfolio.

6.2 Use of Licensed Assets: Any third-party assets (e.g., stock footage, music) used in your project are subject to the terms of their respective licenses.

6.3 Intellectual Property Rights: All pre-existing materials, tools, and processes developed by Awed Media remain the sole property of the Company.

7. Confidentiality

Both parties agree to treat all non-public, confidential, or proprietary information disclosed during the course of the engagement as strictly confidential and to use such information solely for the purpose of fulfilling their obligations under these Terms.

8. Limitation of Liability

To the fullest extent permitted by law, Awed Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, even if advised of the possibility of such damages. Our total liability under this agreement will not exceed the amount paid by you for services in the three (3) months preceding the claim.

9. Force Majeure

Awed Media shall not be held liable for delays or failures in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, government actions, labor strikes, and internet outages.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of California. Any disputes arising under these Terms shall be resolved through binding arbitration in California, except where prohibited by law.

11. Amendments

Awed Media reserves the right to update or modify these Terms at any time. Clients will be notified of significant changes via email or other appropriate communication methods. Continued use of our services after such changes constitutes acceptance of the updated Terms.
